BYLAWS

ARTICLE I
NAME

The name of this organization shall be the University of Alabama at Birmingham Student Nurses Association, herein after referred to as UAB SNA, a constituent of the Alabama Association of Nursing Students (AANS) and the National Student Nurses Association, Inc. (NSNA).

ARTICLE II
PURPOSE AND FUNCTION

SECTION 1.  The purpose of UAB SNA

A.      To assume responsibility for contributing to nursing education in order to provide for the highest quality health care;
B.      To provide programs representative of fundamental interests and concerns to nursing students; and
C.      To aid in the development of the whole person, including his/her professional role, his/her responsibility for health care
        of people in all walks of life.


SECTION 2.  The functions of UAB SNA shall include the following:

A.      To have direct input into standards of nursing education and influence the education process;
B.      To influence health care, nursing education, and nursing practice through legislative activities as appropriate;
C.      To promote and encourage participation in community affairs and activities directed towards improving health care
        and the resolution of related social issues;

D.      To represent nursing students to consumers, institutions, and other organizations;
E.       To promote and encourage student participation in interdisciplinary activities;
F.       To promote and encourage recruitment efforts, participation in student activities, and education opportunities
         regardless of a person’s race, color, creed, national origin, ethnicity, age, gender, marital status, lifestyle,
         disability, or economic status; and

G.      To promote and encourage collaborative relationships with nursing and health related organizations.

ARTICLE III
MEMBERS

SECTION 1.  School constituent

A.      School constituent membership is composed of active or associate members who are members of NSNA and the
        state association when one exists.

B.      There shall be only one chapter at the University of Alabama at Birmingham (UAB).
C.      The UAB SNA shall be composed of at least 10 members from UAB or the total school enrollment
D.      For yearly recognition as a constituent, an officer of UAB SNA shall submit annually the Official Application for NSNA
        Constituency Status and the application for AANS Constituency Status which shall include the following areas of
        conformity: purpose and functions, membership, dues, and representation.

E.       A constituent association that fails to comply with the bylaws and policies of NSNA shall have its status as a
        constituent revoked by a 2/3 vote of the Board of Directors, provided that written notice of the proposed revocation
        has been given at least two months prior to the vote and constituent association is given an opportunity to be heard.

F.       UAB SNA is an entity separate and apart from NSNA and its administration of activities, with NSNA and Alabama
        Association of Nursing Students exercising no supervision or control over these immediate daily and regular activities.
        NSNA and Alabama Association of Nursing Students have no liability for any loss, damages, or injuries sustained by
        third parties as a result of the negligence or acts of UAB SNA or the members thereof. In the event any legal
        proceedings are brought against NSNA and Alabama Association of Nursing Students, UAB SNA will indemnify
        and hold harmless the NSNA and Alabama Association of Nursing Students from any liability.


SECTION 2.  Categories of Constituent Membership

Members of the constituent association shall be:


A. Active members:
                1. Students enrolled in state approved programs leading to licensure as a registered nurse.
                2. Registered nurses enrolled in programs leading a baccalaureate degree with a major in nursing.
                3. Active members shall have all the privileges of membership.

B. Associate members:
                1. Pre-nursing students, including registered nurses, enrolled in college or university programs designed as
                    preparation for entrance into a program leading to an associate degree, diploma 
or baccalaureate degree
                    in nursing.

                2. Associate members shall have all of the privileges of membership except the right to hold office as  president
                    or vice president at state and
 national levels.

C. Individual members:

                Individual membership shall be open at the national level to any eligible student when membership in a
                constituent association is not available. Individual members shall have the privileges of membership as
                prescribed in NSNA bylaws.


D. Active and associate membership shall be renewable annually.

SECTION 3.  Post-graduate Membership

A. Active and associate NSNA membership may be extended six months beyond graduation from a student's program in nursing, providing membership was renewed while the student was enrolled in a nursing program.

ARTICLE IV

SECTION 1: Membership Requirements for Recognition


A. In order to be recognized for membership as defined in Section 2 of this article, the following points must be completed by time of member graduation from program of study and shall be based on general membership, Executive Board membership, and program enrollment:

                1. General Members
                                 i.            BSN Program: 25 Points
                                ii.            AMNP Program: 15 Points

                2. Executive Board Members
                                 i.            BSN Program: 35 Points
                                ii.            AMNP Program: 25 Points

B. Points are only eligible toward recognition if they are completed through UAB SNA and the Parliamentarian has written
    documentation that the members point’s have been completed.


C. In order to receive recognition, the member must be a current active member in this organization.

SECTION 2: Membership Requirements for Recognition Deadlines

A.      Any and all points to be counted towards recognition must be turned into the Parliamentarian within one full week of
        the event or these points will not be counted in the member’s total. The formal event sign in sheet, or other form of
        documentation is the responsibility of the board member present, or the member whom it has been appointed.


B.      Any member looking to receive recognition must have his or her points completed and turned into the Parliamentarian
       one month prior to the recognition ceremony.

                    i. Every member is responsible for keeping track of his or her own points. Therefore, the member is required
                       to fill out his or her points log and have it signed at any event attended by the member in charge. Members
                       are also required to sign the formal sign in sheet at each event he or she attends.


SECTION 3: Membership Recognition

A. Membership recognition is granted when a member completes all requirements as specified in Section 1 of this article.
     Recognition of the member will be provided in the following ways:


                     i.            Name of member identified in the formal program for the UAB School of Nursing Senior Recognition
                         Ceremony

                    ii.            Member will receive a formal SNA cord to wear at the UAB School of Nursing Senior Recognition
                         Ceremony and the University wide Graduation of that institution


ARTICLE V
DUES

A.      The Annual NSNA dues for active and associate members shall be $25 per member, plus $10 state and $10 school
        dues, payable for the appropriate dues year. The dues year for membership shall be a period of twelve consecutive
         months.

             i. Members must renew their membership within one full month of expiration or all data pertaining to their
                membership will be deleted from the system.


B.      The school association board of directors shall have the authority to change membership dues.

C.      National and state dues shall be payable directly to NSNA. NSNA shall remit to each state constituent the dues
        received on behalf of the constituent. NSNA shall not collect nor remit school chapter dues.


D.      Any member who fails to pay current dues shall forfeit all privileges of membership. NSNA does not collect school
        chapter dues; this is the responsibility of the school chapter.


DUES: Extenuating Circumstances

For those members who wish to renew their SNA membership, or join SNA, but need assistance financially may speak
to the treasurer and advisor about an individual payment plan.


ARTICLE VI
UAB SNA EXECUTIVE BOARD

SECTION 1. Purpose

A.      Transacting business of the association between membership and shall report such transactions to the membership.

B.      Reviewing monetary disbursements, acquisitions, and fundraising activities.

C.      Carrying out the aforementioned purpose and functions of the UAB SNA.

SECTION 2. 

Directors of UAB SNA shall be the President, Vice President, Treasurer, Secretary, Parliamentarian, Fundraising Director, Membership Director, and Public Relations Director.

SECTION 3.  There shall be nine (9) chairs

One shall be Special Events Chair, two shall be Merchandise Co-chairs, one shall be Membership Chair, two shall be Breakthrough to Nursing Co-chairs, one shall be Publicity Chair, one shall be Community Service Chair, and one shall be Historian.  

SECTION 4.  Class Representatives

Each nursing cohort shall elect two class representatives.


SECTION 5. Term of Office

The term of office for the President, Vice President, Treasurer, Secretary, Parliamentarian, Fundraising Director, Membership Director, Public Relations Director, the nine (9) chairs and class representatives shall be for one year. Elections will be in March for the upcoming academic year, or earlier if feasible. Officer instillation will be within four weeks of elections.  New officers will assume their office at the end of the spring semester. The interim will be reserved for training of new officers.

SECTION 6.  Duties of Officers and Directors

The Directors, Chairs, and Class Representatives shall perform the duties prescribed by parliamentary authority, and more specifically shall include:

A.      The President shall:

        1.       Represent NSNA, AANS, UAB School of Nursing, and other professional student organizations
        2.       Preside at all meetings of the association and of the Executive Board;
        3.       Appoint special committees with the approval of the Executive Board;
        4.       Serve as ex-officio member of all committees;
        5.       Prepare an annual report;
        6.       Have his/her name on UAB SNA bank account to conduct business with available debit card and/or check book.
        7.       Provide a written monthly report to the Executive Board at the monthly  Executive Board meetings; and
        8.       Promote the purposes of the organization and perform all other duties pertaining to the office

B.      The Vice President shall:
        1.       Assume the duties of the President in his/her absence;
        2.       Accede to the office of President in case of a vacancy in the office;
        3.       Be responsible for the agenda at monthly meetings of the association;
        4.       Post notices of all meetings and confirm the time and place for the meetings with the appropriate resources;
        5.       Be responsible for the coordination of the class representatives;
        6.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        7.       Promote the purposes of the organization and perform such duties as appointed by the President.

C.      The Secretary shall:
        1.       Prepare minutes of all business meetings of the association and the Executive Board;
        2.       Submit monthly minutes to the Publicity Chair and to the AANS Secretary only after the minutes have been
                approved by the Executive Board;

        3.       Inform UAB SNA membership names and contact information of Executive Board;
        4.       Correspond with the AANS Executive Board when necessary;
        5.       Perform all other duties assigned by the President.

D.     
The Treasurer shall:
         1.       Act as custodian of the organization’s funds and see that an annual financial report is prepared;
         2.       Develop and manage the organization’s budget under the direction of the Executive Board;
         3.       Pay all expenses incurred by UAB SNA under the direction of the Executive Board with prior approval and
                 proper documentation;

         4.       Deposit membership and fundraising money at least once every ten business days or as needed and provide
                 a copy of receipt to the faculty advisor and Executive Board;

         5.       Keep a permanent record of all dues received from members and any other income and expenses
         6.       Conduct budget arrangement for state and national conferences and will include faculty advisor, president,
                 and all attending the function in budgetary decisions

         7.       Have available no more than $100 cash for fundraising events
         8.       Have his/her name on UAB SNA bank account to conduct business with available debit card and/or check book.
         9.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
       10.      Perform all other duties assigned by the President.

E.       Parliamentarian shall:
        1.       Maintain order during board meetings following Robert’s Rules of Order.
        2.       Update the UAB SNA chapter bylaws to keep congruent with AANS and NSNA guidelines and standards.
        3.       Keep a permanent record of Executive Board members’ participation in SNA approved events.
        4.       Appoint Nominations and Elections committee (NEC); and
        5.       Perform all other duties assigned by the President.

F.       The Fundraising Director shall:
         1.       Facilitate, lead, and aid in the duties of the Special Events and Merchandise Co-chairs.
         2.       Collaborate with the Treasurer to coordinate UAB SNA fundraising activities.
         3.       Assist the Treasurer in keeping essential records and maintaining the budget.
         4.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
         5.       Perform all other duties assigned by the President.

G.      The Special Events Chair shall:
         1.       Collaborate with the Fundraising Director and Merchandise Co-chairs.
         2.       Create and coordinate special fundraising events for UAB SNA.
         3.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
         4.       Perform all other duties assigned by the President.

H.      The Merchandise Co-chairs shall:
        1.       Collaborate with the Fundraising Director and Special Events Chair.
        2.       Design, order, and distribute merchandise, apparel, and other items for UAB SNA fundraising efforts with
                proper approval.

        3.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        4.       Perform all other duties assigned by the President.

I.        The Membership Director shall:
        1.       Facilitate, lead, and aid in the duties of the Membership Chair and Breakthrough to Nursing Co-chairs.
        2.       Work to increase membership of SNA.
        3.       Provide opportunities to help further educate and develop the professional role of nursing for UAB SNA
                members.

        4.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        5.       Perform all other duties assigned by the President.

J.        The Membership Chair shall:
         1.       Collaborate with the Membership Director and Breakthrough to Nursing Co-chairs.
         2.       Be responsible for adding new SNA members to the SNA membership website, recording membership ID
                 numbers, keeping records of new members, and filling them accordingly.

         3.       Contact members when their membership expires.
         4.       Keep membership database up to date. 
         5.       Assist with recruiting and attending recruiting functions.
         6.       Continue to pursue new memberships throughout his/her term.
         7.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
         8.       Perform all other duties assigned by the President.

K.      The Breakthrough to Nursing Co-chairs shall:
        1.       Collaborate with the Membership Director and Membership Chair.
        2.       Divide UAB SNA membership recruitment and development in two ways; one focusing on pre-nursing students
                and one on current students.

        3.       Promote opportunities within the community for education about the nursing profession and career options.
        4.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        5.       Perform all other duties assigned by the President.

L.       The Public Relations Director shall:
        1.       Facilitate, lead, and aid in the duties of the Publicity Chair, Community Service Chair, and Historian.
        2.       Provide the most relevant information to SNA membership regarding events, and opportunities to advance
                professional development.

        3.       Provide the most relevant information to the community and professional organizations regarding SNA events.
        4.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        5.       Perform all other duties assigned by the President.

M.     The Publicity Chair shall:
        1.       Collaborate with the Public Relations Director, Community Service Chair, and Historian.
        2.       Post monthly minutes to UAB SNA website.
        3.       Update all social media outlets with the most relevant information regarding UAB SNA news, events, and
                opportunities.

        4.       Create and distribute flyers with the most relevant information regarding UAB SNA news, events, and
                opportunities.

        5.       Create and distribute a newsletter during the Fall semester and during the Spring semester showcasing SNA
                news, events, opportunities, and accomplishments.

        6.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        7.       Perform all other duties assigned by the President.

N.      The Community Service Chair shall:
        1.       Collaborate with the Public Relations Director, Publicity Chair, and Historian.
        2.       Organize and coordinate UAB SNA community service projects.
        3.       Provide a means for the student nursing population to reach out to communities locally, regionally,
                and internationally in times of crisis.

        4.       Organize the dispensing of assistance and supplies to those in need following a disaster.
        5.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        6.       Perform all other duties assigned by the President.

O.      The Historian shall:
        1.       Collaborate with the Public Relations Director, Publicity Chair, and Community Service Chair.
        2.       Document chapter achievements throughout the year.
        3.       Apply for state and national conference awards.
        4.       Shall document UAB SNA and SON events by taking pictures and uploading the pictures to all social
                media outlets.

        5.       Update and decorate the UAB SNA display board every semester.
        6.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        7.       Perform all other duties assigned by the President.

P.       The Class Representatives shall:
        1.       Relay UAB SNA information to his/her respective nursing cohort.
        2.       Report to the Vice President regarding SNA concerns.
        3.       Provide a written monthly report to the Executive Board at the monthly Executive Board meetings; and
        4.       Perform all other duties assigned by the President.

SECTION 7.  Vacancies

A vacancy on the Executive Board, other than the President, shall be filled, if deemed essential, by the Executive Board, and shall be filled as specified in these bylaws. In the event of a vacancy, it shall require a quorum vote of the Executive Board.


SECTION 8.  Absences

Members of the Executive Board who have missed more than two regularly scheduled meetings of any current term year without prior notification to the Executive Board and who offer no valid reason for such absences may be removed from office by a quorum vote of the current membership present at the next scheduled meeting. The Executive Board member in question shall be notified two weeks in advance of the meeting.

SECTION 9.  Termination

Failure of any member of the Executive Board to fulfill their duties as outlined in these bylaws shall be grounds for termination and shall be determined by a quorum vote of the Executive Board. The Executive Board member in question shall be notified two weeks in advance of the meeting.

SECTION 10. Quorum

Quorum shall consist of President, faculty advisor, 2/3 of the Executive Board members.

ARTICLE VII
NOMINATION AND ELECTIONS

SECTION 1. Nominations and Elections Committee (NEC)

A.      Elections shall be held in March, or earlier if feasible, of the Executive Board’s upcoming school year.

B.      All candidate who pre-slate must have consent form turned into faculty advisor one week prior to elections.

C.      The NEC shall receive the names of proposed candidates who have pre-slated. It shall be the responsibility of this
        committee and the parliamentarian to obtain the consent of all proposed candidates in writing.


D.      The NEC will schedule voting times and shall prepare the ballot and distribute the numbered ballot to the membership
        for voting during the scheduled voting times. The ballot box will be placed in a specified location.


E.       The committee will count the votes and announce and post the election results through social media outlets and UAB
        email within seven (7) days of the election.


F.       One Faculty Advisor will serve as ex officio member of the committee, monitoring the counting of the ballots.

G.      Committee members shall not have their names placed in nomination.

SECTION 2: Split Votes

A.   During voting, if a split vote has emerged in one of the following offices of: Publicity Chair, Historian, Community
      Service Chair and Special Events Chair, then for that remaining term of office, the two members, may reside as
      co- chairs for the before mentioned Executive Board offices.


B.   During voting, if a split vote has emerged in two or more of the offices of: Publicity Chair, Historian, Community Service
      Chair and Special Events Chair, then a vote for action will reside on the Executive Board for either a revote or
      acceptance of all split votes. An acceptance of all split votes would allow for that remaining term of office, the two
      members for each split office, may reside as co- chairs for the before mentioned Executive Board offices.


C.   A split vote, resulting in co- chairs for that term of office, will not be accepted for any other office other than Publicity
      Chair, Historian, Community Service Chair and Special Events Chair, and will result in a revote.


ARTICLE VIII
MEETINGS AND EVENTS

Section 1.  Membership Meetings

A.      The membership meetings of the association shall be held at such time and place for the purpose of holding elections,
        receiving reports and conducting such other business as may properly come before the Executive Board.


B.      The meeting place and time will be set based on the members’ schedules.

C.      To conduct official business, the quorum shall be 10% of the constituent membership and at least four (4) members
        of the Executive Board, including the President or Vice President.


Section 2.  Executive Board meetings

Executive Board meetings shall be monthly as determined by the President.

Section 3. SNA Sponsored Events

Each hour of an event sponsored by the SNA will be worth one point towards recognition.
                i.   Exceptions: There will be a two point earning maximum for events where items are brought by members
                    for points. This includes events such as canned food drives or bake sales. Manning the table during the
                    event falls under regular point earning.

ARTICLE IX
EXECUTIVE BOARD

Section 1.  Members

A. The Executive Board shall consist of the elected Directors, Chairs, and Class Representatives. The faculty advisors
     shall serve as ex officio members without vote. In order to be a member of the Executive Board you must be a current
     active member of this organization.

                i. Any member of the Executive Board who’s membership expires has one full month to renew their membership.
                  After this time, that member is subject to lose his or her office and any other consequences
pertaining to loss
                  of membership.

 
Section 2.  Powers

All the powers of the association are vested in and shall be exercised by the Executive Board during the interims between meetings of the association.


Section 3.  Responsibility


A.  The Executive Board shall not be responsible for any contract, claim, or obligation of any kind incurred or for any
     position taken by an officer or member of a constituent unless the same was authorized in writing by the Executive
     Board.


B.  No Executive Board Member is allowed to miss more than one monthly SNA meeting in a row, unless excused by the
     advisor. If an Executive Board Member misses two monthly SNA meetings in a row that are considered unexcused by
     the advisor, then he or she is subject to lose his or her office.


C.  Every Executive Board Member is required to attend at least one SNA sponsored event every semester they are an
     officer. If he or she fails to uphold this standard, he or she is subject to lose his or her office.


Section 4.  Delegates

The AANS delegate(s) to the annual AANS and NSNA conventions shall be the UAB SNA President and other delegates as appointed by the Executive Board. The expenses incurred by these delegates will be reimbursed by UAB SNA as determined by the Executive Board according to available financial resources.

Section 5. Convention

No Board Member or General Member who attend Convention will receive any additional hours towards recognition.


ARTICLE X

ADVISORS

Section 1.  Selection and number

Advisor(s) shall be selected by the Executive Board each year. The number selected shall not exceed four (4). The faculty advisor(s) shall be approved by the Executive Board. One advisor must be a faculty member of UAB School of Nursing.

Section 2.  The advisor(s) shall:

A.      Serve as a liaison between the Executive Board and the UAB SNA members, the faculty
        and staff of UAB SON, and other professional organizations;


B.      Serve as a resource person consulting with the Executive Board and committees;

C.      Attend the meetings of UAB SNA membership and the Executive Board; and

D.      Attend the annual AANS state convention and the annual NSNA nation convention, when possible.

ARTICLE XI
COMMITTEES

The president, at his/her discretion, shall establish committees (with the approval of the Executive Board) deemed necessary to carry out the work of the association and determine the functions, terms, and membership of such committees. A quorum for committee meetings shall be a majority of the members present.


ARTICLE XII
PARLIAMENTARY AUTHORITY

All meetings of this association shall be conducted according to parliamentary laws as set forth in Robert’s Rules of Order Newly Revised where the rules apply and are not in conflict with these bylaws. With a quorum vote of the Executive Board, the Executive Board may elect not to conduct meetings using Robert’s Rules for their term of office only.

ARTICLE XIII
AMENDMENTS

SECTION 1: These bylaws may only be amended at the monthly Executive Board meeting by a quorum vote and voting provided that notice of the proposed amendments has been sent to the Executive Board members at least two weeks prior to the meeting. If the Parliamentarian fails to provide previous notice of proposed amendments two weeks prior to the Executive Board, the proposed amendment shall then be voted on by a majority vote of 99% to accept the proposed amendment if quorum is present.

SECTION 2: Proposed amendments may be submitted by any SNA member to the Parliamentarian, who will then present them to the Executive Board for vote.

SECTION 3: The updated SNA bylaws will then be voted on by the UAB SNA general membership at the following General Membership meeting.

SECTION 4: Amendments to the UAB SNA Bylaws shall immediately be implemented.

ARTICLE XIV
UAB NON-DISCRIMINATION CLAUSE

The University of Alabama at Birmingham and Student Nursing Association prohibits discrimination in admission, educational programs, and other student matters on the basis of race, color, religion, sex, sexual orientation, gender identity, gender expression, age, national origin, disability unrelated to program performance, veteran status or genetic or family medical history.
